About This Role
Reporting to the Textron Systems Principal Classification Compliance Analyst, the Export/Import Compliance Analyst will proactively handle export/import compliance matters for Textron Systems as assigned. Will interact with employees at all levels and will work both independently and with other members of the Legal, Contracts and Compliance Department staff on a variety of interesting international trade compliance matters. Responsibilities
• Provide a full range of proactive export compliance guidance to program management, contracts, procurement, business development, shipping, security and other functional areas, including domestic/foreign operations and subsidiaries.
• Prepare DDTC and Commerce license applications, Technical Assistance Agreements, Manufacturing License Agreements and Warehousing Distribution Agreements.
• Determine applicability of ITAR exemptions, ECCNs, and use of Commerce license exceptions
• Work in collaboration with in-house attorneys and outside counsel to ensure compliance with applicable laws and regulations.
• Provide support in connection with internal/external audits and investigations.
• Track application status, maintain database of granted export approvals, satisfy record-keeping requirements, and prepare required reports.
• Assist in maintaining up-to-date Export Compliance Policies, Procedures and Manuals.
• Assist in planning and conducting employee training.
• Assist in determining export jurisdiction and ECCN/USML classification for all products.
• May perform other Trade Compliance duties as assigned

About This Role
This position will ensure compliance with Customs and Participating Government Agency requirements on imports, and optimize use of special trade programs such as Free Trade Agreements, etc.
Responsibilities
· Develop, document, implement and maintain internal controls for compliance with Free Trade Agreement.
· Bureau of Alcohol, Tobacco and Firearms and Explosives Registration, and Permits preparation experience in support of Business Development & Planning and Contracts Departments.
· Serve as in-house expert for all FTA inquiries
· Manage POA's and Customs bonds for all TSC BU's as needed.
· Stay current on new or changing regulations or initiatives, attend seminars to remain updated and educated on same.
· Assist in developing/updating company policy and procedures in related areas.
· Design, document, implement, and maintain system to qualify products/transactions for tariffs reductions under special trade programs.
· Maintain required records
· Train personnel as appropriate.
· Interface with TSC's Customs Brokers and CBP officers.
· Assist in the research and interpretation of international trade regulations
· Assist with Free Trade Agreement and Country of Origin determination
· Manage U.S. imports for repair parts using TIB and HTS chapter 98
· Ability to back up export team as needed

· Provide reports as required and as requested to keep senior management informed of the operation and progress of Import/Export efforts
· Respond to Customs queries such as CF28s & CF29s.
· Assign HTS classifications using reasonable care and due diligence methodologies such as product descriptions, CROSS, open-source data, Samples, Technical data and Explanatory Notes. Maintain company HTS product database.
· Assist in identifying potential areas of compliance vulnerability and risk, develop/implement corrective action plans for resolution of problematic issues in coordination with local leadership, company desk procedures, and provide guidance on how to avoid similar situations in the future

About This Role
The Director, Contracts shall proactively manage the contracts function for Textron Systems, including its off-site operations and locations. In addition to providing contract leadership, advice and support to business area management and program teams, s/he will be responsible for leading and managing a group of contract professionals in all aspects of contract management. In performing this role, the Director, Contracts will:
Responsibilities
• Ensure the contracts function serves as the primary customer interface and official point of contact for all contractual matters within the business area during all phases of contract formation and administration.
• Supervise, mentor and train contracts personnel reporting directly or indirectly to the Contracts Director in a collegial environment. Design career development plans, create professional development opportunities, and ensure robust succession plans are instituted for all staff members.
• Ensure contracts function provides appropriate business area support in all pre-contract formation activities, such as: review of solicitations and terms and conditions, performance of risk analyses and assessments, participation in bid/no bid decisions, provision of guidance on proposal strategies, development and preparation activities, review of cost proposals, maintenance of cost and pricing data records for TINA compliance, support fact-finding and DCAA audits, and lead negotiations.
• Proactively supervise a staff of contracts professionals who: manage and administer a variety of contracts (government/commercial, domestic/international) of all types (cost reimbursement, fixed price, incentive, award fee, IDIQ, time and material, etc.) and modifications thereto; prepare and coordinate business correspondence; generate required contract-related reports; and maintain accurate and complete contract records for the company and actively oversee closing out completed contracts.
• Remain actively engaged with (and serve as an integral member of) designated business area management and program teams. Develop strong interfaces with other functional areas and maintain close contact with appropriate levels of management as necessary. Participate in program reviews, monitor program performance (contract schedules, deliverables, funding, invoicing, and payments), and notify program leaders and management of potential non-compliances or other problems that could have an adverse impact on the company. Recommend to program leaders and management contract solutions and strategies that will favorably impact the company.
• Supervise and support staff in identification, management and negotiation of contract changes, and coordination and resolution of contract issues internally and with external customers. Provide advice and guidance regarding contract disputes and actively participate in resolution of these matters.
• Ensure contract management activities are conducted in accordance with company policies and procedures, applicable laws and regulations, and customer requirements.
• Serve as an integral member of the Legal and Contracts organization and forge a close working relationship with Legal department members. Ensure coordination with Legal on contract matters that may have legal significance (such as, identifying to Legal non-standard or potentially high risk terms and conditions) prior to advising management of contractual risks, rights and obligations, and terms and conditions interpretations.
• Perform other contract-related duties as assigned.

About This Role
The Sr Manager Import/Export Compliance professional will oversee our expanding regulatory compliance and contractual obligations in our defense line of business. This position is responsible for Customs Compliance management including the overall coordination and execution of import and export activities and the development, implementation and maintenance of compliance programs. This position is responsible for ensuring that all import and export related activities are in compliance with regulations including but not limited to the Export Administration Regulations and the Code of Federal Regulations. The ideal candidate will have a proven track record of success managing export and import compliance in an aerospace/defense environment and have an extensive knowledge of the International in Arms Regulations (ITAR), Export Administration Regulations, and Customs Regulations, and must also have excellent communication skills. The role requires successful management of a broad range of responsibilities in a fast-paced, multi-tasking environment.
Responsibilities
- Provide a full range of proactive export/import compliance guidance to program management, contracts, procurement, business development, shipping, security and other functional areas within the Company
- Prepare, submit and track Directorate of Defense Trade Controls and Commerce license applications, Technical Assistance Agreements, Manufacturing License Agreements and Warehousing Distribution Agreements
- Managing projects and programs including but not limited to internal and/or external import and/or export reviews and audits and import and export compliance metrics and dashboard reports
- Determine the applicability of ITAR exemptions, ECCNs and use of Commerce exceptions
- Support and ensure compliance for GSP, NAFTA, and other duty preference programs
- Work collaboratively with in-house attorneys and outside counsel to ensure compliance with applicable laws and regulations
- Provide support in connection with internal/external audits and investigations
- Review and approve Foreign Visitor Notifications and shipping requests through appropriate systems
- Track application status, maintain database of granted export approvals, satisfy record-keeping requirements, and prepare required reports
- Create maintain and implement policies, procedures and guides to ensure overall compliance with export control regulations.
- Plan and conduct employee training
- Review export/import documents and work with Custom Brokers to expedite Customs clearance of products
- Apply U.S. Customs regulations to business transactions ensuring Customs compliance
- Facilitate/coordinate product reclassification as a result of Export Control Reform
- Review and approval of commercial invoices and shipping process and coordination of freight forwarder requirements
- Assist and mentor individual OU Export/Import Compliance personnel in resolving import regulatory and classification interpretations; act as buffer between OUs and Textron Systems Office
- Code Customs Broker import invoices for payment and review import entries for error
- Coordinate communication with Customs brokers and Customs bond underwriters.
- Focal point for alleged violations; assist in investigation and preparation of any required voluntary disclosures; coordinate review of same by the Textron Systems and Textron corporate offices
- Perform other compliance activities as determined by the Director of Global Trade Compliance

Textron Systems is currently seeking a Sr. Business Contracts Manager with eight to twelve years of contract experience. In addition to providing contract leadership, advice and support to management and programs teams, the candidate will be responsible for all aspects of contract management throughout the entire contracting process, from pre-proposal activities through contract closeout. − Ensure the contracts function properly reviews terms and conditions to identify and recommend mitigation strategies for potential areas of risk, to include acceptance criteria, delivery requirements, warranty, intellectual property, termination provisions, indemnification and all other potential risk areas.
− Participate in bid/no bid decisions, provide guidance on proposal development strategies, participate in proposal color reviews, maintain cost or pricing data records for TINA compliance, support fact-finding and agency audits, and lead negotiation teams.
− Proactively manage and administer a variety of contracts (government/commercial, domestic/international) of all types (cost reimbursement, fixed price, incentive, award fee, IDIQ, T&M, etc.) and modifications thereto; prepare and coordinate business correspondence; generate required contract related reports; and maintain accurate and complete contract files and records for the company.
− Remain actively engaged with, and serve as an integral member of, assigned management and program teams. Develop strong interfaces with personnel in other functional areas and maintain close contact with appropriate levels of management as necessary to be effective. Participate in program reviews, monitor program performance (contract schedules, deliverables, funding, invoicing and payments), and notify program leaders and management of potential non-compliances or other problems that could have an adverse impact on the company. Recommend to program leaders and management contract solutions and strategies that will favorably impact the company.
− Identify, manage and negotiate contract changes, and coordinate resolution of contract issues internally and externally. Work with program leaders and management to ensure that an effective contract change management process is in place. Provide advice and guidance regarding conflict disputes and actively participate in resolution of these matters.
− Actively manage and oversee the process of closing out completed contracts.
− Ensure contract management activities are conducted in accordance with company policies and procedure, applicable laws and regulations, and customer requirements.
− Serve as an integral member of the Textron and AAI Legal and Contracts organization and forge a close working relationship with Legal department members. Ensure coordination with Legal on contract matters that may have legal significance prior to advising management of contractual risks, rights and obligations, and terms and conditions interpretations.
− Actively pursue continuing education opportunities to remain abreast of industry trends and changes to contracting laws, regulations and practices.
